Welcome to ClockMate (“we,” “our,” or “us,”). These Terms of Service (“Terms”) govern your legal rights to use or access services, software, mobile applications, and websites (the “Services”). By accessing or using the Services and by logging in, you electronically represent (“sign”) that you agree to the above terms and further certify that you have read, understood, and completely agree, to be legally bound by ClockMate’s Terms of Service (this “Agreement”). This Agreement further applies to all visitors, users, and others who access the Services (the “Users”). ClockMate reserves the right to make changes to this Agreement at any time. If a change is a material, we’ll let you know before it takes effect. By using ClockMate on or after that effective date, you agree to the new Agreement. If you don’t agree to it, please delete your account before it takes effect, otherwise, your use of the site and content will be subject to the new Agreement.

Eligibility and Safety

You may use the Services provided by ClockMate only if you can form a legally binding contract with ClockMate and comply with this Agreement and all applicable local, state, provincial, national, and international laws, rules, and regulations. Anyone under the age of 18 is strictly prohibited from using the Services. The Services are not available to any Users previously removed from ClockMate, whether for violation of this Agreement or any other reason.

Furthermore, by using the Services, you represent and warrant the following:

1. You are 18 years of age or older.

2. ClockMate does not facilitate or involve itself in transactions or actions between parties and does not certify, investigate, or guarantee the legal capacity of any party to perform any action.

3. You are responsible for complying with all applicable laws and regulations, including but not limited to federal, state, municipal, and international laws, privacy protection requirements, and judicial or administrative rulings.

4. You will not use ClockMate’s Services for any illegal purpose.

5. You consent to have your personal data stored and processed in Europe in accordance with applicable privacy laws and ClockMate's Privacy Policy.

6. You will not collect Users’ content or personal information, or otherwise access ClockMate, using automated means (including bots, spiders, or scrapers) without our prior written permission.

7. You will not upload viruses, malware, or other malicious code.

8. You will not solicit login information or access an account belonging to someone else.

9. You will not bully, intimidate, or harass other users.

10. You will not post content on ClockMate that contains hate speech, threats, nudity, or graphic violence, or content that incites illegal activity or discrimination.

11. You will not use ClockMate to do anything unlawful, misleading, malicious, or discriminatory.

12. You will not engage in actions that could disable, overburden, or impair the proper functioning of ClockMate, such as denial-of-service attacks or interference with its features.

13. You will not encourage or facilitate violations of these Terms or any of ClockMate’s policies.

Account Registration and Responsibilities

To use ClockMate’s Services, you must provide accurate and up-to-date personal information. You must also ensure the security of your account as follows:

1. You may never use another User’s account without their permission.

2. When creating your account, you must provide truthful and accurate information.

3. You are responsible for all activity that occurs through your account and must keep your account credentials secure.

4. You will not share your account credentials or allow unauthorized access to your account.

5. If your account is disabled, you may not create another one without ClockMate’s prior written approval.

6. You will notify ClockMate immediately of any security breaches or unauthorized use of your account.

Paid Features, Subscriptions, and Lifetime Offer

ClockMate offers certain features that require payment, including monthly and yearly subscriptions and a one-time Lifetime Offer. By purchasing any paid feature, you agree to the following terms:

1. Monthly and Yearly Subscriptions: Subscriptions grant access to premium features for the duration of the subscription period. Subscriptions automatically renew unless canceled according to the app store’s policies. You are responsible for managing and canceling subscriptions through the Google Play Store or Apple App Store. Features and availability may change over time at ClockMate’s discretion.
2. Lifetime Offer: A one-time purchase granting access to all current and future premium features for the lifetime of your ClockMate account. The Lifetime Offer may be available for a limited time and is subject to change at ClockMate’s discretion. Access is tied to your account and may be modified, updated, or discontinued. This does not guarantee indefinite availability of the app or its services.
3. Refunds: All purchases are subject to the refund policies of the store from which the purchase was made (Google Play Store or Apple App Store). ClockMate does not provide additional refunds beyond the store’s policies.
4. Feature Changes and Updates: ClockMate may update, modify, or discontinue paid features at any time. While we strive to maintain access to purchased features, availability may change due to technical, operational, or business reasons.
5. Account-Specific Access: Paid features and subscriptions are linked to your ClockMate account. You may not transfer access to another account. Lifetime access is limited to the duration of your account and may not extend beyond the termination or deletion of your account.
6. Limitations: Access to paid features may be affected by device compatibility, updates, or changes to platform services. ClockMate is not responsible for interruptions or limitations caused by external factors beyond our control.

By purchasing any paid feature, subscription, or Lifetime Offer, you acknowledge that you understand these terms, including that availability and feature access may change over time, and agree to be bound by them.

Termination of Service

ClockMate reserves the right to permanently terminate your account if you violate these Terms. Depending on the severity of the violation, ClockMate may also take legal action or cooperate with law enforcement authorities.

By using ClockMate, you agree to take full responsibility for your actions and any consequences arising from misuse of the Services.

Dispute

Any and all disputes, controversies, differences, or claims (“Disputes”) arising out of or in relation to the interpretation or performance of this Agreement between you and ClockMate shall be resolved through arbitration in accordance with the Rules of Conciliation and Arbitration of the International Chamber of Commerce. Arbitration will be conducted by one or more arbitrators appointed in accordance with these Rules. The arbitration proceedings shall be conducted in the English language, and the arbitral award shall be final and binding upon both parties.

Arbitration may be initiated by either party at a mutually agreed location or, if no agreement is reached, at a location chosen by the other party. Judgment upon the award rendered by the arbitrator(s) may be entered in any court with jurisdiction, or an application may be made to such a court for judicial acceptance of the award and/or an order of enforcement, as required.

Disclaimer of Warranties and Limitation of Liability

WE DO NOT GUARANTEE THAT CLOCKMATE WILL ALWAYS BE SAFE, SECURE, ERROR-FREE, OR THAT IT WILL FUNCTION WITHOUT DISRUPTIONS, DELAYS, OR IMPERFECTIONS.

CLOCKMATE IS NOT RESPONSIBLE FOR THE ACTIONS, CONTENT, INFORMATION, OR DATA OF THIRD PARTIES. YOU RELEASE US, OUR DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FROM ANY CLAIMS OR DAMAGES, KNOWN OR UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED TO CLAIMS YOU MAY HAVE AGAINST SUCH THIRD PARTIES.

Other

This Agreement constitutes the entire agreement between the parties regarding the Services, superseding any prior agreements, whether written or oral. If any portion of this Agreement is found to be unenforceable, the remaining provisions will remain in full force and effect.

Failure on our part to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision. You may not transfer your rights or obligations under this Agreement to anyone else without our prior written consent. All of our rights and obligations under this Agreement are freely assignable by us in connection with a merger, acquisition, sale of assets, or by operation of law or otherwise.

Nothing in this Agreement shall prevent ClockMate from complying with applicable laws, regulations, or governmental requests. This Agreement does not grant any third-party beneficiary rights.

We reserve all rights not expressly granted to you. You agree to comply with all applicable laws while using or accessing ClockMate.

Any amendment to or waiver of this Agreement must be made in writing and either signed by us or posted on the ClockMate Services. We may modify this Agreement at any time, at our sole discretion. If material changes are made to the way we handle Personal Information or content, we will notify you by posting an announcement on the Services or by sending an email to the registered email address associated with your account.

By continuing to use the Services after such changes have been made, you agree to be bound by the updated Agreement.

You may contact ClockMate Support via support@clockmate.app or the Contact Us page, which are the official customer support channels we respond to.

ClockMate does not provide any commitments or guarantees regarding response times or whether problems or concerns can be resolved or addressed. Any customer service and support offered by ClockMate are not emergency services, a dispatch center, or a solution for urgent situations requiring immediate assistance.

PLEASE DO NOT CONTACT CLOCKMATE’S CUSTOMER SUPPORT FOR ANY LIFE/SAFETY OR SECURITY EMERGENCY, MEDICAL EMERGENCY, OR ANY OTHER URGENT SITUATION. If you have such an emergency, please contact the relevant emergency services in your area immediately, such as the police, fire department, or appropriate response team in Ireland or Europe by dialing 112 or 999.
